Support for the transmission of a Geneva-based company present in its sector for over 38 years.

In November 2015, the CEO suddenly died. The company then faced several years of governance difficulties.

In 2019, the second historical director, aged 70, expressed his desire to pass on the company but no permanent solution seemed possible.

Orphée Consulting was asked to establish a diagnosis to assess the company's viability.

The mandate consisted in carrying out an analysis of the financial and global situation with regard to debts owed to suppliers, social security and taxes, the importance of the "stock" and "debtors and ongoing work" items and to analyze the profitability and the realization of the operating budgets.

Orphée consulting makes recommendations on the various recapitalization and reorganization measures that can be considered and assesses the ability to repay any bank debt.

From the outset, a reflection on the different tangible scenarios of succession was conducted.

The cash flow situation very quickly required rigorous monitoring and the implementation of decision-support dashboards. A change of trustee and auditor was recommended and implemented, and a recovery plan was drawn up.

The scenario recommended by Orphée Consulting was carried out for the benefit of the company's two main managers. Two complementary employees, an operational one in direct contact with the teams and the clientele and an administrative one in charge of the follow-up and the business management.

Today, Orphée Consulting is in charge of finalizing the transfer, monitoring the company's management and providing individual support to the new owners in order to secure the governance and efficiency of the new management in charge of this challenge.
